Confidentiality agreement for professionals bound by secrecy
Lawyers, notaries, auditors, tax advisors and other professionals bound by secrecy may only involve service providers who are themselves bound to secrecy. With this agreement, Sovaro GmbH commits to the confidentiality that Austrian, German and Swiss law require for this.
Last updated: 15 October 2026
1. Parties and purpose
- 1.1This agreement is concluded between the customer of PreVDR ("Professional") and Sovaro GmbH, Weißgerberlände 60/23, 1030 Vienna, Austria, FN 651695 a, Handelsgericht Wien ("Sovaro").
- 1.2The Professional is subject to a statutory or professional duty of secrecy, in particular under § 121 of the Austrian Criminal Code (öStGB), § 203 of the German Criminal Code (dStGB), Art. 321 of the Swiss Criminal Code (chStGB) or the professional rules applicable to lawyers, notaries, auditors, tax advisors or comparable professions.
- 1.3The Professional uses PreVDR to compress documents that may contain secrets entrusted to it. In doing so, Sovaro acts as a service provider assisting the Professional in its professional activity. This agreement ensures that Sovaro is bound to secrecy in a way that allows the Professional to involve Sovaro lawfully.
- 1.4This agreement supplements the General Terms and Conditions (www.prevdr.com/legal/terms) and the Data Processing Agreement (www.prevdr.com/legal/dpa). It becomes part of the contract when the Professional uses PreVDR in its professional capacity. On request, Sovaro also provides a copy signed by it.
2. Protected information
- 2.1Protected information ("Secrets") means all information that becomes known to Sovaro in connection with the use of PreVDR by the Professional, in particular the content and names of the submitted files and of the files returned, regardless of whether it concerns the Professional, its clients or third parties, and regardless of whether it is marked as confidential.
- 2.2The fact that the Professional uses PreVDR in connection with a particular matter is also a Secret.
3. Duty of secrecy
- 3.1Sovaro keeps all Secrets strictly confidential. It does not disclose them to any third party and does not use them for any purpose other than compressing the files and returning them to the Professional.
- 3.2Sovaro takes note of Secrets only to the extent necessary to provide the service. The files are processed automatically; Sovaro staff do not view their content in the course of normal operation.
- 3.3Files are processed transiently and deleted automatically after processing and download, at the latest 15 minutes after processing. Sovaro keeps no copies.
- 3.4Sovaro does not use Secrets to train or improve language models or for any analysis.
4. Information on criminal liability
- 4.1Sovaro has been informed and acknowledges that persons assisting a professional bound by secrecy may themselves be liable to prosecution if they disclose Secrets without authorisation, in particular under § 121 öStGB, § 203(4) dStGB and Art. 321 chStGB.
- 4.2Sovaro has also been informed of the duty of secrecy under § 6 of the Austrian Data Protection Act (DSG).
5. Staff
- 5.1Sovaro grants access to systems processing Secrets only to persons who need it to operate the service.
- 5.2Before they start, Sovaro commits these persons in writing to secrecy and informs them of the criminal law consequences of a breach as set out in section 4. These obligations continue after their activity for Sovaro ends.
6. Subcontractors
- 6.1Sovaro involves only the subcontractors listed in Annex 2 of the Data Processing Agreement: Amazon Web Services (operation of the service and of the Claude language models through Amazon Bedrock, region Europe (Frankfurt), eu-central-1), Vercel (website hosting and encrypted relay of requests, without storage) and IONOS (email).
- 6.2Sovaro involves a subcontractor only if it is contractually bound to confidentiality and data protection, and only to the extent necessary to provide the service. Sovaro informs the Professional in advance of any change of subcontractors in accordance with section 7 of the Data Processing Agreement; the Professional may object.
- 6.3Amazon Bedrock does not store or log the content sent to the language models or the content they return and does not use it to train models. Anthropic, the provider of the models, has no access to the files.
7. Technical and organisational safeguards
- 7.1Sovaro protects Secrets with the technical and organisational measures described in the document "Technical and organisational measures" (www.prevdr.com/legal/toms), in particular transient processing in Frankfurt, automatic deletion, encryption in transit and restricted access.
8. Requests from authorities and incidents
- 8.1If an authority or court requests Sovaro to disclose Secrets, Sovaro informs the Professional without undue delay, where legally permitted, so that the Professional can assert its rights, in particular its right to refuse testimony. Sovaro discloses Secrets only to the extent it is legally obliged to do so.
- 8.2Sovaro informs the Professional without undue delay if it becomes aware of any unauthorised disclosure of or access to Secrets.
9. Duration
- 9.1The duty of secrecy applies without time limit. It continues after the end of the contract for the use of PreVDR.
10. Final provisions
- 10.1In the event of a conflict concerning the protection of Secrets, this agreement takes precedence over the General Terms and Conditions and the Data Processing Agreement. Statutory secrecy obligations remain unaffected.
- 10.2This agreement is governed by Austrian law. The exclusive place of jurisdiction is the court with subject-matter jurisdiction for Vienna, Innere Stadt.
- 10.3Amendments must be made in text form. Should any provision be invalid, the remaining provisions remain valid.
